By accessing or using HubUI, you agree to these Terms of Service. If you do not agree, do not use the platform.
HubUI is currently offered as a Developer Preview. The service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uptime, data availability, or uninterrupted service. We reserve the right to modify, restrict, or shut down the platform at any time, with or without notice.
HubUI is in active development. During the Developer Preview period, you acknowledge and agree that:
You should not rely on HubUI as your sole or primary system for any mission-critical, life-safety, financial, medical, or emergency communications during this period.
HubUI provides the infrastructure layer for transmitting voice and text. We do not generate, control, review, or monitor the outputs of the AI agents you build or connect to our platform.
You assume full and sole responsibility for:
HubUI takes no responsibility whatsoever for the actions or outputs of AI agents running on our infrastructure.
You agree not to use HubUI for any of the following:
We reserve the right to immediately suspend or terminate your account without notice if we detect or reasonably suspect a violation of this section.
HubUI uses prepaid credits and pay-as-you-go usage metering. Eligible first adopters may receive promotional starting credit. Promotional credit has no cash value, is non-transferable, and may be modified or withdrawn for abuse, fraud, or account misuse.
Usage charges are deducted from your credit balance based on the rates displayed in the product or on the HubUI website. Current public rates are $0.14 per voice minute, $0.01 per AI response, and $2 per US phone number per month.
You are responsible for maintaining enough credit for your usage. If your balance is insufficient, HubUI may restrict calling, messaging, phone number provisioning, or other paid features until credit is added.
Purchased credits, payment methods, invoices, and billing portal access may be handled through a third-party payment provider. HubUI does not store full card numbers. Usage measurements are generated from platform logs and billing records and are the system of record for credit deductions.
You agree to indemnify, defend, and hold harmless HubUI, its founders, officers, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

To the fullest extent permitted by applicable law, HubUI, its founders, employees, and affiliates shall not be liable for any:
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if HubUI has been advised of the possibility of such damages. In no event shall HubUI's total aggregate liability exceed the amount you paid to HubUI in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.
HubUI shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions or orders, war, terrorism, riots, embargoes, power failures, internet or telecommunications outages, cyberattacks, failures of third-party cloud providers or sub-processors, or any other force majeure event.
You may stop using HubUI and close your account at any time. We reserve the right to suspend or terminate any account for violations of these terms, suspected abuse, or for any reason with or without prior notice during the Developer Preview period. Upon termination, your right to use the platform ceases immediately. Any provisions that by their nature should survive termination will remain in effect.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.
Any dispute, controversy, or claim arising out of or relating to these Terms or your use of HubUI shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA). Arbitration shall take place in Delaware, United States, and shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against HubUI.
Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
Entire Agreement. These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and HubUI regarding your use of the platform. They supersede all prior or contemporaneous agreements, communications, representations, and proposals, whether oral or written.
Waiver. The failure of HubUI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. HubUI may assign these Terms without restriction.
We may update these terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of HubUI after changes are posted constitutes your acceptance of the updated terms.
